Introduction

YES IT Labs LLC, headquartered in California with an offshore development team in India, provides IT services including the development and maintenance of new tech ideas, digitalization of offline business processes, custom software, mobile applications, websites, digital marketing (SEO, SMO, SMM, LinkedIn prospecting, Meta Ads, etc.), and tech proof of concepts. By accessing our services, you agree to comply with the following terms and conditions.

Services

YES IT Labs LLC offers a range of IT services. Detailed descriptions of services can be found on our website www.yesitlabs.com. All terms as agreed in the proposal/Master Service Agreement signed will be followed. We reserve the right to modify or discontinue any service at any time without prior notice.

User Responsibilities

Users agree to provide accurate and complete information when engaging our services and to update this information as necessary. Users are responsible for maintaining the confidentiality of their account and password and for restricting access to their computer to prevent unauthorized access to their account.

Intellectual Property

All content provided by YES IT Labs LLC, including but not limited to software, graphics, text, and logos, is the property of YES IT Labs LLC and is protected by international copyright laws. Users may not reproduce, distribute, or create derivative works from this content without our express written permission, unless the work given is open source. The client will own the copyright on the project developed by YES IT Labs LLC under this agreement. The copyright ownership is valid only after the full payments have been made as per this agreement and not based on milestones.

Indemnification

Users agree to indemnify and hold YES IT Labs LLC, its subsidiaries, affiliates, officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the use of our services, violation of these terms, or infringement of any intellectual property or other right of any person or entity.

Limitation of Liability

YES IT Labs LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our services or for the cost of procurement of substitute services.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the state of Wisconsin for US operations and the laws of New Delhi for India operations, and you agree to submit to the exclusive jurisdiction of the courts located in these regions.

No Refunds and Cancellations

There are no refunds and no cancellations under any circumstances.

Warranty and Support

YES IT Labs LLC shall give a warranty for all its code provided; no third-party alteration is allowed. In case of any third-party alteration in the code, all warranties will expire, and YES IT Labs LLC cannot be held responsible for any losses arising out of it. Any changes in the features/architecture of the website will be addressed as a change and will be subject to either additional costing or hourly pricing as mutually discussed. The period and terms of warranty are as mentioned below:

Warranty Period: 14 days post go-live unless otherwise specified in the proposal.
Ad-hoc Support: $27/hour post go-live/warranty period.
Terms: Warranty will cover bugs arising from the current scope of work mentioned in this document.
Milestone Approval: A milestone is deemed approved if the client does not reply within 14 days of milestone delivery.

Out of Scope Items

Ongoing support beyond the specified warranty.
System administration and configuration of the client’s hosting plan.
Resolving any problems with the ISP, hosting provider, third parties, etc.
Follow-up of any support tickets not directly related to this project.
Search Engine Optimization (SEO). If SEO is required, please ask for a separate quote.
Content writing for the website. If content writing is required, please ask for a separate quote. All content to be uploaded post go-live by the client.
Scheduled or one-time data or file backups.
Any points not specified in this agreement.
Design iterations are limited to 3, unless differently specified in your agreement.
There are no options for any kind of refunds or cancellations under any circumstances.
All progress updates and hours worked shall be shared and tracked on a weekly basis. Any feedback will have a TAT of 1-2 business days.

Approval and Payment

If the client stops replying, the milestone will be deemed approved, and the client will have to pay. Clients only get source codes and copyrights if the project is fully paid.
